1. Acceptance of Terms

By accessing or using any software, services, or products provided by Monolithic LLC ("Monolithic," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.

2. Description of Service

Monolithic provides web-based software products and services available through subscription-based access ("Service" or "Services"). Our Services are provided on an "as-is" and "as-available" basis.

3. Subscription and Pricing

3.1 Subscription Tiers

Monolithic offers various subscription tiers, which may include free, monthly, and yearly subscription options.

3.2 Variable Pricing

Subscription fees are subject to change at our sole discretion. We will provide at least thirty (30) days' prior written notice of any price changes to active subscribers via email to the address associated with your account. By continuing to use the Service after a price change takes effect, you accept the new pricing.

3.3 Price Changes

We reserve the right to modify subscription pricing based on market circumstances, operational costs, feature additions, and the value we determine our products provide. Price changes will not apply to your current billing period; they will take effect at the start of your next renewal period following the notice period described in Section 3.2.

3.4 Payment

You agree to pay all fees associated with your subscription. All fees are non-refundable unless otherwise required by applicable law.

4. No Warranties

4.1 Disclaimer of Warranties

To the maximum extent permitted by applicable law, Monolithic makes no warranties, express or implied, regarding the Services. We specifically disclaim all warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

4.2 No Guarantee of Performance

Monolithic does not guarantee that the Services will function as intended, meet your requirements, be error-free, secure, or available at any particular time. We strive to provide a seamless and valuable experience but make no guarantees regarding performance, reliability, or results.

4.3 Security Disclaimer

While we implement reasonable security measures, we make no warranties regarding the security of the Services or the data you store, transmit, or access through our platform.

5. Limitation of Liability

5.1 No Liability for Damages

To the maximum extent permitted by applicable law, Monolithic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • (a) Your access to or use of or inability to access or use the Services;
  • (b) Any conduct or content of any third party on the Services;
  • (c) Any content obtained from the Services;
  • (d) Unauthorized access, use, or alteration of your transmissions or content;
  • (e) Any security breaches, data loss, or system failures;
  • (f) Any business interruption or operational losses resulting from use of the Services.

5.2 Maximum Liability

In no event shall Monolithic's total liability to you for all damages, losses, and causes of action exceed the amount you paid to Monolithic in the twelve (12) months preceding the claim, or one hundred dollars ($100), whichever is less.

5.3 Applicability

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain types of damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law. Nothing in these Terms limits liability that cannot be limited under applicable law.

6. Termination

6.1 Right to Terminate

Monolithic reserves the right to suspend or terminate your access to the Services at any time, for any reason, with at least seven (7) days' prior notice where practicable. We may terminate immediately and without notice in cases of material breach of these Terms, illegal activity, or where continued access poses a security or legal risk.

6.2 Effect of Termination

Upon termination, your right to use the Services will immediately cease. For terminations initiated by Monolithic without cause, we will provide a pro-rated refund of any prepaid fees covering the unused portion of your current billing period. Terminations resulting from a breach of these Terms are not eligible for a refund.

7. User Responsibilities

7.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

7.2 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms.

7.3 Data Backup

You are solely responsible for maintaining backups of any data you input into or generate through the Services.

8. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, design, text, graphics, and other content, are owned by or licensed to Monolithic. These Terms do not grant you any rights to our trademarks, service marks, or logos.

9. Modifications to Terms

Monolithic reserves the right to modify these Terms at any time. For material changes, we will provide at least thirty (30) days' prior notice by: (a) sending an email to the address associated with your account, and/or (b) displaying a prominent notice within the Service. Continued use of the Services after the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Services before the effective date.

10. Arbitration and Dispute Resolution

10.1 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

10.2 Arbitration Procedures

The arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in the United States in a location mutually agreed upon by the parties or, if no agreement can be reached, in a location determined by the arbitrator.

10.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between Monolithic and you individually. You waive any right to participate in a class action lawsuit or class-wide arbitration.

10.4 Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

10.5 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

11. California Users

If you are a California resident, you may have additional rights under the California Consumer Privacy Act (CCPA) and other California consumer protection laws. Please refer to our Privacy Policy for more information about your California privacy rights. Under California Civil Code Section 1789.3, California users are entitled to the following specific consumer rights notice: The Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs may be contacted in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210.

12. Indemnification

You agree to indemnify, defend, and hold harmless Monolithic, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services or violation of these Terms.

13. Export Controls

You agree to comply with all applicable export control laws and regulations. You represent that you are not located in, or a national or resident of, any country subject to U.S. government embargo, and that you are not listed on any U.S. government list of prohibited or restricted parties.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Monolithic regarding the use of the Services and supersede all prior agreements and understandings, whether written or oral.
