By accessing or using any software, services, or products provided by Monolithic LLC ("Monolithic," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our services.
Monolithic provides web-based software products and services available through subscription-based access ("Service" or "Services"). Our Services are provided on an "as-is" and "as-available" basis.
Monolithic offers various subscription tiers, which may include free, monthly, and yearly subscription options.
Subscription fees are subject to change at our sole discretion. We will provide at least thirty (30) days' prior written notice of any price changes to active subscribers via email. Price changes take effect at the start of your next renewal period and will not apply to your current billing period.
You agree to pay all fees associated with your subscription. All fees are non-refundable unless otherwise required by applicable law.
To the maximum extent permitted by applicable law, Monolithic makes no warranties, express or implied, regarding the Services. We specifically disclaim all warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not guarantee that the Services will be error-free, secure, or available at any particular time. While we employ industry-standard security measures and engineering practices, we make no warranties regarding performance, reliability, or the security of data you store or transmit through our platform.
To the maximum extent permitted by applicable law, Monolithic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
Some jurisdictions do not allow the exclusion or limitation of liability for certain types of damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.
Monolithic reserves the right to suspend or terminate your access to the Services at any time, for any reason, with at least seven (7) days' prior notice where practicable. We may terminate immediately and without notice in cases of material breach of these Terms, illegal activity, or where continued access poses a security or legal risk.
Upon termination, your right to use the Services will immediately cease. All fees are non-refundable unless otherwise required by applicable law.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to use the Services only for lawful purposes and in accordance with these Terms.
You agree to comply with all applicable export control laws. You represent that you are not located in, or a national or resident of, any country subject to U.S. government embargo, and that you are not listed on any U.S. government list of prohibited or restricted parties.
You are solely responsible for maintaining backups of any data you input into or generate through the Services.
All intellectual property rights in the Services, including but not limited to software, design, text, graphics, and other content, are owned by or licensed to Monolithic. These Terms do not grant you any rights to our trademarks, service marks, or logos.
Monolithic reserves the right to modify these Terms at any time. For material changes, we will provide at least thirty (30) days' prior notice by: (a) sending an email to the address associated with your account, and/or (b) displaying a prominent notice within the Service. Continued use of the Services after the effective date of any modification constitutes your acceptance of the revised Terms.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration in a location mutually agreed upon by the parties, rather than in court.
You waive any right to participate in a class action lawsuit or class-wide arbitration. Any dispute shall be limited to the dispute between Monolithic and you individually.
These Terms shall be governed by the laws of the State of Indiana, without regard to its conflict of law provisions.
You agree to indemnify, defend, and hold harmless Monolithic, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Services or violation of these Terms.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Monolithic regarding the use of the Services and supersede all prior agreements and understandings, whether written or oral.
